Terms of Service

1. Acceptance of Terms

By accessing or using EndZoneAI.app ("the Platform"), a product of CosmotionAI, Inc., you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform. If you are using the Platform on behalf of an organization (such as a school or athletic program), you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

EndZoneAI.app is a multi-tenant SaaS platform that provides football programs with digital tools for roster management, scheduling, statistics tracking, recruitment profiles, sponsorship management, communication, payment processing, and other program administration features. Features vary by subscription plan (Starter, Pro, Elite).

3. User Accounts

• You must provide accurate, current, and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your account credentials.
• You must notify us immediately of any unauthorized use of your account.
• Account access is role-based (Coach, Player, Parent, Admin) and permissions are managed by the program administrator.
• Users under 18 must have parental or guardian consent to create an account.

4. Subscription Terms

Access to EndZoneAI.app requires an active subscription purchased by the program or organization.

• Billing: Subscriptions are billed annually or monthly as selected at purchase. Payment is due at the beginning of each billing period.
• Plan Changes: Upgrades take effect immediately. Downgrades take effect at the end of the current billing period.
• Cancellation: You may cancel at any time. Access continues through the end of the current paid period. No refunds are provided for partial periods.
• Free Trials: If offered, free trials automatically convert to paid subscriptions unless cancelled before the trial period ends.

5. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations.
• Upload, transmit, or distribute content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.
• Attempt to gain unauthorized access to any portion of the Platform or any other systems or networks connected to the Platform.
• Use the Platform to harass, bully, or intimidate any person, including student athletes.
• Scrape, mine, or extract data from the Platform through automated means.
• Share login credentials or allow unauthorized individuals to access the Platform through your account.
• Use player data for unauthorized recruiting contacts in violation of NCAA, NAIA, or state high school athletic association rules.

6. Content Ownership

• Your Content: You retain ownership of all content you upload to the Platform, including rosters, statistics, media, and communications. You grant us a limited license to host, display, and process this content solely to provide the Platform services.
• Platform Content: The Platform, including its design, features, code, documentation, and branding, is owned by CosmotionAI, Inc. and protected by intellectual property laws.
• Data Export: You may export your data at any time through the Platform's export features or by contacting support.

7. Student Athlete Protections

We are committed to protecting student athletes. All data related to minors is handled in compliance with FERPA and COPPA. Recruitment features require explicit opt-in consent from both the student athlete and their parent or guardian. Academic information is only visible to authorized roles (coaches, administrators) and is never shared externally without consent.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COSMOTIONAI, INC. AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOUR ORGANIZATION FOR THE PLATFORM IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify and hold harmless CosmotionAI, Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform, your violation of these Terms, or your violation of any third-party rights.

10. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice. We are not liable for any downtime, data loss, or service interruptions caused by factors beyond our reasonable control.

11. Termination

We may suspend or terminate your access to the Platform if you violate these Terms, fail to pay applicable fees, or engage in conduct that we determine is harmful to other users or the Platform. Upon termination, your right to use the Platform ceases immediately. We will provide a 30-day window for data export before permanent deletion.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Los Angeles County, California.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or prominent notice on the Platform. Continued use of the Platform after the effective date of changes constitutes acceptance of the revised Terms.
